Terms of Service

These Terms of Service ("Terms") govern your use of the PatPat mobile application and admin panel (the "Service") operated by PatPat ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 16 years old and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

PatPat is an employee recognition platform that allows team members to give and receive kudos, participate in leaderboards, collect pins, and build a culture of appreciation within their organization. The Service includes:

A mobile application for iOS and Android.
An admin panel for organization management.
Optional integrations with third-party services such as Slack.

3. Accounts

3.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

3.2 Organization Accounts

Organization administrators who create a workspace are responsible for managing their team members, configuring recognition settings, and ensuring compliance with their organization's policies.

3.3 Account Deletion

You may delete your account at any time through the Profile section of the mobile app. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Recognition content you created may be retained in anonymized form.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Send recognition content that is harassing, discriminatory, defamatory, or otherwise inappropriate.
Attempt to manipulate leaderboards or recognition metrics through fraudulent activity, including creating fake accounts or sending reciprocal kudos to inflate scores.
Interfere with the Service's operation, security, or other users' access.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Use automated tools, bots, or scripts to interact with the Service without our written consent.

5. Content

5.1 Your Content

You retain ownership of the content you create (kudos messages, profile information, photos). By using the Service, you grant us a license to store, display, and transmit your content as necessary to provide the Service.

5.2 Content Guidelines

Recognition content should be professional, respectful, and relevant to workplace achievements. We reserve the right to remove content that violates these Terms or our content guidelines.

6. Plans and Pricing

6.1 Free Plan

The Free plan is available at no cost for organizations with up to 16 employees. It includes core recognition features with standard support.

6.2 Paid Plans

Pro and Enterprise plans offer additional features and are billed as described on our Pricing page. Prices may change with 30 days' notice. Paid plans are billed in advance on a monthly or annual basis.

6.3 Cancellation

You may cancel your paid subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

7. Privacy

8. Intellectual Property

The Service, including its design, code, features, and branding, is owned by PatPat and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless PatPat, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATPAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER PATPAT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 9 through 11, 14, and 15 shall survive any termination of these Terms.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will provide at least 30 days' notice via email or in-app notification. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which PatPat operates, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
